SignalProp provides data and insights sourced from various public sources. While we make reasonable efforts to ensure the accuracy and reliability of the data, we do not guarantee its completeness, accuracy, timeliness, or suitability for any specific purpose. You acknowledge that the data provided may contain inaccuracies, errors, or omissions, and you agree to use the data at your own risk.
Our services are provided on an "as is" and "as available" basis. SignalProp makes no representations or warranties of any kind, express or implied, as to the operation of our services or the information, content, materials, or products included therein. You expressly agree that your use of our services is at your sole risk. To the fullest extent permissible by applicable law, SignalProp disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.
In no event shall SignalProp, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use our services; (ii) any conduct or content of any third party on our services; (iii) any content obtained from our services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
You agree to defend, indemnify, and hold harmless SignalProp, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services, including, but not limited to, your User Contributions, any use of our services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from our services.
The entire contents of our services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of SignalProp, its affiliates, or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as permitted under these Terms or with the prior written consent of SignalProp.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
These Terms, along with our Privacy Policy and any additional terms and conditions that may apply to specific sections of our services, constitute the sole and entire agreement between you and SignalProp regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding our services.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using our services.
